1. Acceptance of Terms

By downloading, installing, or using Cella (the "App"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the App.

2. The Service

Cella helps you store, synchronize, organize, classify, and share documents and ask questions about them using on-device and, at your option, third-party cloud AI providers. Personal synchronization uses your private Apple iCloud database. Spaces you explicitly share are made available by Apple to people with the sharing link and to participants you invite through CloudKit sharing. Features and availability may change over time.

3. Your Content

You retain all rights to the documents and data you add to the App ("Your Content"). You are solely responsible for Your Content, for having the right to store, process, and share it, and for ensuring it is lawful in every jurisdiction that applies to you. Your Content is stored on your devices and in your private iCloud account, exposed to participants when you explicitly share a space, and, where you configure it, sent directly to an AI provider you chose. We do not see, review, or moderate it. Responsibility for what you put into the App rests with you alone.

You must not use the App to store, process, or generate content that is unlawful, that infringes any third party's rights, or that is used for unethical purposes. Prohibited content and uses include, without limitation:

  • Sexually explicit material, pornography, and any material that sexualizes or exploits minors
  • Gambling operations and any material supporting unlawful betting or gaming
  • Fraud, money laundering, tax evasion, and other financial crime
  • Trafficking in illegal drugs, weapons, or people
  • Material that harasses, defames, or incites violence or hatred against any person or group
  • Stolen credentials, stolen data, or material obtained by unauthorized access
  • Circumventing the law, whether ours, yours, or a third party's

We may suspend or terminate your access to the App if we reasonably believe you are using it in breach of this section. Nothing in this section obliges us to monitor Your Content, and our failure to detect a breach is not a waiver of it.

4. Third-Party Services

Apple provides iCloud synchronization under the terms and privacy practices of your Apple account. If you configure a cloud AI provider, documents in the relevant vault are transmitted to that provider and processed under that provider's own terms and privacy practices. You are responsible for reviewing and complying with those terms. We are not responsible for third-party services.

5. Subscriptions & Payments

Some features require a paid subscription billed through your Apple ID. Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period. Manage or cancel subscriptions in the App Store. Payments are handled by Apple, not by us.

6. Acceptable Use

You agree not to reverse engineer, resell, or misuse the App, interfere with its operation, or attempt to access data that is not yours. You also agree to comply with the content restrictions in clause 3, and with the terms of any third-party AI provider you configure.

7. Disclaimer

The App is provided "as is" without warranties of any kind. AI-generated classifications and answers may be inaccurate or incomplete and should not be relied on as professional, legal, financial, or medical advice.

8. Limitation of Liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages, or for any loss of data, arising from your use of the App. Keep your own backups of important documents.

9. Changes to These Terms

We may update these Terms from time to time. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.
